In a definitive agreement announced on October 6, 2025, Advanced Micro Devices (AMD) and OpenAI revealed a sweeping strategic partnership designed to accelerate the world’s most ambitious artificial intelligence (AI) buildout. The collaboration centres on OpenAI deploying a massive 6 gigawatts (GW) of AMD GPUs across multiple generations of AMD Instinct™ graphics processing units. AMD’s commitment as a core strategic compute partner means OpenAI will drive large-scale deployments of AMD technology, starting with the AMD Instinct MI450 series and extending to future generations. The initial deployment is set at 1 gigawatt of AMD Instinct MI450 Series GPUs, scheduled to commence in the second half of 2026. The partnership is an extension of an already existing collaborative effort between the families of hardware and software of several generations since the MI300X and MI350X series.

An Integrated Collaboration of Giants

To align strategic interests, the deal includes a significant equity component: AMD has issued OpenAI a warrant for up to 160 million shares of AMD common stock. If OpenAI exercises the full warrant, it could potentially acquire approximately 10% ownership in AMD, based on the number of shares currently outstanding.

The vesting of these shares is strictly structured around performance, tying tranches to specific milestones, including the initial 1 GW deployment and subsequent purchases scaling up to the full 6 GW. Vesting is also contingent upon AMD achieving certain share-price targets and OpenAI successfully realizing the technical and commercial milestones needed to enable large-scale AMD deployments.

Said AMD EVP, CFO, and Treasurer Jean Hu, given the drumming, counting tens of billions of dollars, revenues that this partnership is expected to generate for AMD are expected to be highly accretive to AMD’s non-GAAP earnings per share. Subsequent to this announcement, AMD shares rocketed more than 35% in pre-market, indicating huge confidence from investors.
